This page sets out the general rules of the Roicool Partner Program (partner program). Commission rates are not on this page; we share them in writing, with the partner agreement, once your application is approved. If this page and the partner agreement differ, the agreement applies.
1. Joining
- Joining is free. There are two partner types: referral partner and agency partner.
- Roicool may refuse an application without giving a reason, or end a partnership with notice. Commission earned on invoices paid up to the end date is still paid.
- The partner agreement is accepted electronically at approval; agency partners also sign a written agreement.
2. The partner's position
Partners are independent. They may not sign contracts for Roicool or promise prices, scope or results on its behalf.
3. Commission base
- Commission is calculated on the net service fee, excluding VAT, that the client actually pays Roicool.
- Ad spend on advertising platforms, licences and costs passed through on the client's behalf are not part of the base.
- On projects, commission is earned as the client pays each instalment; on monthly services, for every paid month during the period set in the agreement.
- Rates, durations and caps are set in the partner agreement; agency partners have a rate of their own.
4. Registration and protection
- A company must be registered with the partner form before it is introduced. Roicool confirms or rejects the registration within 2 business days.
- A confirmed registration is protected for 90 days from confirmation; if talks are still going, the protection can be extended once.
- These companies can't be registered: current clients, companies that were clients in the last 12 months, companies in Roicool's sales pipeline in the last 6 months, and the partner's own company or employer.
- The company must have a decision maker who has agreed to talk to Roicool and a need above the minimum project budget.
- The first valid registration of a company counts. A company that tells Roicool a partner recommended it is credited to that partner if the partner registers it within 14 days.
- Roicool's CRM record is the source of truth. Disputes about a statement must be raised within 60 days of the statement date.
5. Payout
- A statement is sent every month; payment is made by the 15th of the month after the client pays.
- Balances under 2,000 TRY roll over to the next month.
- Commission on a project's first instalment is held for 30 days; if the client cancels and is refunded in that time, no commission arises. No commission arises for months the client doesn't pay.
- Company partners send an e-invoice; individual partners are paid against an invoice or a self-employment receipt (serbest meslek makbuzu). Partners abroad are paid by bank transfer against an invoice.
- Taxes are the partner's responsibility; Roicool withholds tax where the law requires.
6. Brand use
Partners may use only the Roicool logo and badge supplied to them, under the rules supplied. They may not claim, on Roicool's behalf, to be an official partner of Google, Meta or any other platform.
7. Personal data
- Partners register only people who have agreed to be contacted by Roicool. Before passing a registered person's data to Roicool, the partner must inform that person under KVKK Art. 10 and have a legal ground for the transfer; the partner is a separate data controller for that data.
- Roicool gives a registered person its own KVKK Privacy Notice when it first contacts them.
- Roicool processes the data of partners and registered contacts under its KVKK Privacy Notice and Privacy Policy. Partners receive no more client information than commission reporting needs.
8. Prohibited conduct
Unsolicited or bulk e-mail, bidding on "Roicool" in search ads, fake reviews and cookie stuffing are prohibited. A breach voids the related commission and may end the partnership.
9. Changes
Roicool may change these terms and the conditions in the partner agreement with 30 days' notice. Changes don't affect registrations confirmed before the notice date.
10. Governing law
These terms are governed by Turkish law; the courts and enforcement offices of Istanbul have jurisdiction.
